YouTube Video VVUzTWpYWkNYTlZtSEdsTE1aS3F2NV9RLnJEdlMtYldDTXJJ How critical is periodic valuation of priviate limited companies?

It is common for Startups to issue ESOPs to it's employees and in such cases, is it not fair for the employees to understand the value of their shareholding on a regular basis?

And finally, does quarterly or half yearly valuation exercise necessarily mean that you should spend a lot?

Unlike a listed company, where the shareprices are readily available on a realtime basis, it is important for unlisted and private limited companies to keep track of its valuation regularly!!

In today's video, I have elaborated on the advantages of creating a valuation template, which would give a periodic update on how the valuation of a Statrup changes inline with it's performance.

PS: It is a super simple exercise!!

- Investors understand what to look for in a company's financial statements and intangible aspects.
- The company shows potential for growth, scalability, and reasonable profitability.

In today's video, I delve into the Why, When, and How of MSME IPOs.

Crafting the Perfect Pitch

A compelling pitch can significantly influence investors' decisions. Highlight your business model, market opportunity, financial projections, and the unique value proposition of your startup.

Due Diligence

Investors will conduct thorough due diligence before committing their funds. Be prepared with detailed financial records, a solid business plan, and a clear explanation of how you plan to use the funds.

Negotiating Terms

Understanding the key terms of funding agreements is crucial. Pay attention to equity stakes, valuation, control rights, and exit strategies to ensure you strike a fair deal.

Watch my video below which highlights the whole lifecycle of a typical Startup!!

For those just starting out, consider beginning with bootstrapping or angel investors to maintain control and build a solid foundation. As your business grows, venture capital or crowdfunding can provide the necessary boost to scale rapidly.

When it comes to GST, meticulous compliance is key to avoiding scrutiny and harassment by the GST department.

Now, there would definitely be instances where interpretation of the law and judgment calls will have to be taken but here are a few things to be kept in mind for FY 2024-25:

1. Ensure that the classification of goods or services for the purpose of determination of GST rate is given due attention.

2. Monthly reconciliation between Books (GSTR 3B) and Portal (GSTR 2B) is done and reversal of input credit available is made on account of:
a. Invoices not appearing in GSTR 2B.
b. Payments to suppliers outstanding for more than 180 days.
c. Input credits related to exempted supply.
d. Input credits related to supplies that are for non-business or personal purposes.
e. Inputs related to blocked credit as per Section 17(5) of CGST Act
f. And finally, in cases where your supplier fails to make payment and file GSTR3B before 30th September of the succeeding financial year.

3. If you are into export of Goods or Services, make sure you file RFD-11 if you want to export without payment of taxes.

4. Check for applicability of GST payable on a reverse charge basis (RCM).

5. In this video, I have spoken about some of the aspects to be kept in mind for proper closure of FY 2023-24 and being compliant for FY 2024-25.

As GST continues to evolve, businesses must stay abreast of changes and ensure ongoing compliance!!

How often do you come across situations like:

1. Should I invest in government bonds to save taxes on capital gains?
2. Should I take a housing loan for tax benefits or should I use my own money?

Such decisions can become a no-brainer if you know the specific metrics associated with decision-making.

Whether you're considering a new venture, evaluating a potential real estate investment, or analyzing the performance of a project or any instrument, having the right tools to assess returns and risks is crucial. In today’s video, we'll delve into three essential metrics - Internal Rate of Return (IRR), Payback Period, and Cash-on-Cash Return - and explore their significance in investment analysis.

So, the next time you're evaluating an investment opportunity, remember to consider these essential metrics and empower yourself with the insights needed to make the right decision!!

Expenses can turn out to be expensive if not paid within specific timelines.

In today's video, I have highlighted some of the expenses covered under Section 43B, which will be allowed as a deduction only if they are paid before the due date of filing your tax returns.

They include:
1. Contribution to PF, ESI, Gratuity, etc.
2. Bonus and commission payable to employees.
3. Interest on loans taken from financial institutions.
4. Amount payable to MSEs, which is supercritical.

Though this is common knowledge for professionals like CAs, it is equally important for entrepreneurs and businesses to know about these provisions!!

Do watch and avoid paying excessive taxes on account of ignorance or negligence.

Are Startups with negative EBITDA worthless??

Strongly disagree. Many businesses could be EBITDA (Earnings before Interest, Tax and Depreciation) negative but still be heading in the right direction for the following reasons:

1. They could be investing in new verticals or products/services to explore better growth opportunities.

2. Higher spending on sales and marketing expenses for market disruption.

3. Strategic investments in R&D building partnerships or acquiring key assets, etc.

4. Or could be simply because of the timing of revenue recognition.

The point is, to measure the growth and potential of a Startup, there are several aspects of profitability at different levels that will have to be ascertained for better decision-making.

In today’s video, I have explained profitability which can be tracked at different levels with the data available. Do watch!!
